Terms
The short version.
- You pay once for Memup and get every 1.x version.
- Each seat is one person on one Mac, and you can move it to a new Mac yourself.
- Your library stays on your Mac and belongs to you. We can’t see it.
- If something isn’t right, you have 30 days to ask for your money back (see Refunds).
Who we are
Memup is made by [LEGAL NAME], [ADDRESS] (“we”, “us”). You can reach us at [SUPPORT EMAIL]. These terms apply when you download, buy or use Memup.
Buying Memup
On our website. Our online reseller is Paddle.com, which is the merchant of record for all orders on our website. Paddle handles payment, sales tax and VAT, invoices and refunds, and its buyer terms apply to the purchase itself.
In the Mac App Store. Apple sells Memup and its terms apply to the purchase.
On a deal site. If you bought a code from a software deal site, that site’s terms apply to the purchase and its refund. These terms apply to your use of Memup.
Prices are shown on our website before you buy. The price you paid won’t change after you’ve bought.
What a licence includes
- One seat is one person on one Mac. A licence for more people has one seat for each, and each person has their own private library. The buyer can reassign seats.
- Every 1.x version. When Memup 2.0 comes out, you keep 1.x for good and can upgrade to 2.0 at a discount. If you bought in the six months before 2.0 is released, 2.0 is free.
- Moving to a new Mac. Use Deactivate This Mac in Settings, or our licence page for a lost or broken Mac. You can do this yourself up to three times a year for each seat. After that, contact us.
- Licence checks. Memup checks your licence about once a week in the background. If it can’t check for 30 days in a row, it asks you to reconnect. Until it can, only Export Library works, so you can always take your data out.
- After a refund or chargeback the licence ends. Memup then works only to export your library.
The free version
Memup is free for up to 100 files, with every feature except watched folders. A licence removes the limit and adds watched folders. The limit is how many files your library holds at a time: removing some makes room.
Your library
What you add to Memup is yours. It stays on your Mac in an encrypted library, and we have no copy and no way to open it. Our privacy policy explains the little that does leave your Mac.
Because only you hold the keys, please keep your recovery key safe and back up your Mac. If you lose both your Mac’s key and your recovery key, nobody can open your library, including us.
Fair use
Please don’t share or resell licence keys, get around the licence checks, or copy, change or take apart Memup except where the law allows it. Use Memup only for files you have the right to keep.
Other software in Memup
Memup includes open-source components, listed in the app with their licences. The AI models it downloads come from Hugging Face and are covered by their own licences.
Warranty and liability
We work hard to make Memup reliable, but we provide it as it is and can’t promise it will be free of errors. To the extent the law allows, we’re not liable for indirect or consequential loss, or for lost data, and our total liability is limited to the amount you paid for Memup.
Nothing in these terms limits rights you have under consumer law that can’t be excluded, such as those under the [CONSUMER LAW, e.g. Consumer Guarantees Act 1993 (New Zealand)] or the consumer laws of your country.
Changes to these terms
We may update these terms. We’ll change the date above and, for important changes, say so on this page. A change never takes away a licence you’ve already paid for.
Law
These terms are governed by the laws of [COUNTRY], and its courts can hear any dispute, without affecting your rights to bring a claim where you live.
